Announcement of Haldex's extraordinary meeting for SAF-Holland's public offering

International. A few weeks ago, the SAF-HOLLAND Group, one of the leading international manufacturers of chassis-related assemblies and components for trailers, trucks and buses, offered SEK 66 per share in cash.

The German group has declared its takeover bid to the shareholders of Haldex Aktiebolag ("Haldex"), who control more than 90% of the total number of shares and votes in Haldex. In this context, the shareholders of the Swedish brake manufacturer are invited to an Extraordinary General Meeting (JGE) on Wednesday, September 14, 2022.

The Governing Body has decided that the AGE shall be held only by early voting (postal voting) in accordance with temporary legislation.

This means that the EGM will take place without the physical presence of shareholders, representatives or external parties and that shareholders will only be able to exercise their voting rights by postal mail before it.

Shareholders wishing to attend the AGE by early voting must be registered in the shareholder register maintained by Euroclear Sweden AB on Tuesday, September 6, 2022 and announce their intention to attend the Extraordinary General Meeting no later than Tuesday, September 13, 2022, by submitting an early voting form in accordance with the instructions in the "Early Voting" section.

A special form will be used for early voting. The form is available on haldex's website, www.haldex.com/en/corporate. The early voting form is considered to be the notification of participation in the EGM.

The shareholder may not give instructions or special conditions on the voting form. If so, the vote (in its entirety) is invalid. Further instructions and conditions are included in the early voting form.
